Terms Of Purchase
SensorComp Inc. (“SensorComp”) is a distributor of industrial sensors, sensor components and related metal and machined parts to businesses. Products offered are intended solely for business purposes. SensorComp reserves the right to restrict or refuse sales unless business verification has been conducted.
Limited Warranty
The warranty and return policy for all products sold by SensorComp (the “Products”) are determined by the original equipment manufacturer and/or supplier. All Products sold are warranted only to the extent of the manufacturer’s or supplier’s warranty, and only to purchasers (“Buyers”) for resale or use in their business.
Products are warranted against defects in workmanship or materials in accordance with the manufacturer’s warranty policy. Certain Products may not include a warranty period as determined by the manufacturer.
Products determined by SensorComp to be defective in material or workmanship and returned to SensorComp location, shipping costs prepaid, will be repaired or replaced at SensorComp’s sole discretion as the Buyer’s exclusive remedy.
Warranty Disclaimer
SensorComp has made every effort to accurately describe and illustrate its Products; however, these descriptions are for identification purposes only. SensorComp makes no express or implied warranties, including, without limitation, warranties of merchantability or fitness for a particular purpose. Products are sold on an “as is, where is” basis, except as specified in the manufacturer’s limited warranty. All other warranties or representations, whether statutory, express, or implied, are expressly disclaimed.
Limitation of Liability
SensorComp disclaims any liability for indirect, special, incidental, or consequential damages (including loss of profits or business opportunities) arising out of or related to the sale or use of its Products. SensorComp’s total liability is limited to the purchase price paid for the specific Product in question.
Prompt Disposition
SensorComp will make reasonable efforts to address and correct any issues regarding defective Products within the warranty period. Buyers must provide the original invoice number and a detailed description of the defect. Instructions for return will be provided by SensorComp upon review.
Product Suitability
Laws and regulations regarding the sale, installation, and use of Products vary by jurisdiction. SensorComp makes no guarantees regarding compliance with such laws and is not responsible for ensuring Products meet specific regulatory requirements. Buyers are advised to review all applicable laws and standards before purchasing and using Products.
Manufacturers’ Warranties and Documentation
Most Products carry a manufacturer’s warranty, which may supersede SensorComp’s stated policies. Buyers can request copies of such warranties from the manufacturer or from SensorComp, provided the manufacturer and model details are specified.
Sales Policy
- Terms: By placing an order, Buyers agree to SensorComp’s terms and conditions, subject to updates without notice.
- Wholesale Only: Products are sold exclusively for business purposes. Business identification may be required.
- Pricing: Prices are listed in Canadian dollars and may change without notice. Bulk pricing is available upon request.
- Taxes: Buyers must provide valid tax exemption certificates to avoid applicable sales taxes.
Payment Terms
For Buyers with approved credit, payment terms are net thirty (30) days from the shipment date. Payments must be made in Canadian dollars. Late payments are subject to interest charges of 2% per month (26.82% annually). Orders may be suspended or cancelled for non-payment.
Returns and Cancellations
All returns and cancellations require SensorComp’s prior approval. Non-defective Products must be returned within 30 days in original, resaleable condition. Restocking fees may apply. Shipping errors, damage, or loss must be reported immediately.
Export Policy
Products are intended for use within Canada. Buyers must notify SensorComp if Products are to be exported. Buyers assume responsibility for compliance with export and import regulations.
Force Majeure
SensorComp is not liable for delays or failures in performance caused by circumstances beyond its control, including natural disasters, labor disputes, or transportation issues.
Freight Policy
Shipping is F.O.B. origin. Freight charges, including those for special handling, are the Buyer’s responsibility.
Title and Risk of Loss
Title and risk of loss pass to the Buyer upon shipment. Damage during transit must be claimed with the carrier.
Modification of Terms
No changes to these terms are valid unless agreed to in writing by SensorComp.
